Terms & Conditions

Welcome to National Flowers LLC ("Company," "we," "us," or "our"). These Commercial Terms & Conditions govern all wholesale procurement, electronic orders, standing fresh flower supply agreements, and business accounts conducted with National Flowers LLC from our premises at Industrial Area - Al Naglah, Abu Dhabi, United Arab Emirates.

By registering a wholesale account, submitting a purchase order, or accepting a commercial invoice, you ("Buyer," "Client," or "Customer") represent and warrant that you are a legally recognized business entity (florist shop, hotel group, event management company, retail distributor, or corporate buyer) holding a valid UAE Trade License or equivalent international commercial registration.

To place wholesale flower orders, Buyers must create a verified trade account. You are responsible for ensuring that all trade licenses, Tax Registration Numbers (TRN), contact details, and authorized buyer lists remain accurate and updated.

• Account credentials must be held in strict confidence. The Buyer accepts full liability for all orders submitted under its account credentials.
• National Flowers LLC reserves the right to suspend or terminate accounts that fail trade verification or breach credit boundaries.

Our fresh-cut flowers, foliage, and botanical supplies are offered in commercial wholesale quantities (box lots, stem bunches, or pallet shipments).

All commercial purchases are subject to United Arab Emirates Value Added Tax (VAT) at the statutory rate of 5% in compliance with UAE Federal Decree-Law No. 8 of 2017.

• Payment Terms: Orders must be prepaid via bank transfer or credit card unless approved for commercial credit terms.
• Credit Accounts: Pre-approved trade credit accounts must adhere strictly to agreed net terms (e.g., Net 14 or Net 30 days). Overdue accounts incur interest at 1.5% per month.
• Invoicing: Tax invoices are issued electronically upon order dispatch detailing stem counts, unit costs, and itemized VAT.

National Flowers LLC maintains a continuous temperature-controlled supply chain from farm arrival through final dispatch.

• Delivery schedules are confirmed upon order finalization. Buyers must ensure personnel are available at the destination premises to inspect and receive refrigerated floral shipments.
• Risk of loss or damage transfers to the Buyer upon handover at the delivery location or upon pickup by Buyer-designated transport.

Because fresh-cut flowers are highly perishable biological goods, strict claim procedures apply:

Claims submitted after 24 hours of delivery, or stems stored outside appropriate refrigeration (2°C – 5°C), will not qualify for credit or replacement.

Special farm-direct import orders, customized wedding palettes, or standing holiday allocations cannot be canceled once harvest processing has commenced in grower countries. Standard stock orders may be canceled up to 48 hours prior to dispatch without penalty.

Approved quality claims will be resolved via commercial credit notes applied against future wholesale purchases or refunded via original payment methods within 7-10 business days.

All catalog imagery, brand marks, floral arrangement concepts, software code, and digital assets published by National Flowers LLC are the exclusive intellectual property of National Flowers LLC and protected under UAE copyright laws.

To the maximum extent permitted under UAE law, National Flowers LLC shall not be liable for indirect, incidental, punitive, or consequential damages (including loss of event revenue or business profit) arising from delayed arrivals or natural bloom variations. Our total liability for any order shall not exceed the invoice purchase price of the specific product involved.

Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including extreme weather events, volcanic ash disruptions, international flight cancellations, customs inspections, border closures, or acts of government authorities.

These Terms & Conditions are governed by and construed in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Abu Dhabi. Any legal dispute arising out of or in connection with commercial transactions shall be subject to the exclusive jurisdiction of the Courts of Abu Dhabi, United Arab Emirates.
