1. Introduction & Definitions

Welcome to National Flowers LLC ("National Flowers," "Company," "we," "us," or "our"), a retail flower and gift business operating from Industrial Area - Al Naglah, Abu Dhabi, United Arab Emirates, Trade Licence No. [INSERT]. These Terms & Conditions ("Terms") govern your purchase of products through nationalflower.ae (the "Website").

• "Customer," "you," "your" means the individual placing or paying for an order.
• "Recipient" means the person to whom an order is to be delivered, where different from the Customer.
• "Order" means a request to purchase products submitted and confirmed through the Website.

2. Acceptance & Eligibility

By browsing the Website, creating an account, or placing an Order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Website.

You must be at least 18 years old, or the age of legal majority in your place of residence, to create an account or place an Order. By placing an Order, you confirm that you meet this requirement.

3. Accounts & Registration

Some features require you to create an account. You agree to provide accurate, current information and to keep your login credentials confidential. You are responsible for activity that occurs under your account, and must notify us promptly at info@nationalflower.ae if you suspect unauthorized use.

We may suspend or close an account that we reasonably believe is being used fraudulently, abusively, or in breach of these Terms.

4. Orders, Pricing & Availability

All prices displayed on the Website are quoted in United Arab Emirates Dirhams (AED) and, unless stated otherwise, are inclusive of applicable UAE VAT. An Order is only confirmed once you receive an order confirmation from us; we may decline or cancel an Order (for example, due to stock unavailability, a pricing or listing error, or a suspected fraudulent transaction), in which case any payment taken will be refunded.

Prices, delivery fees, and product availability may change at any time before an Order is confirmed, particularly around high-demand occasions (e.g., Valentine's Day, Mother's Day, wedding season) when flower costs and availability fluctuate.

5. Natural Product Variation

Our products are made from fresh, seasonal, and perishable natural flowers. Because of this:

• The exact flowers, colours, and container in a delivered arrangement may vary slightly from the photograph shown on the Website, due to seasonal availability, screen display differences, and the handmade nature of each arrangement.
• Where a specific flower variety or colour becomes unavailable, we may substitute it with a flower of equal or greater value, of comparable style and quality, and will do so in good faith.
• Flowers are a living, perishable product and their appearance will naturally change over time after delivery depending on care, room temperature, and water changes.

6. Payment & Invoicing

Orders must be paid in full at checkout using one of the payment methods offered on the Website (currently including credit/debit cards and supported digital wallets). Payments are processed by our third-party payment processor [PAYMENT PROVIDER]; we do not store your full card details.

A tax invoice/receipt reflecting the applicable UAE VAT will be made available to you following a successful Order.

7. Delivery

We aim to deliver Orders within the delivery window selected or confirmed at checkout. Delivery timing may be affected by factors outside our control, including traffic, weather, incorrect address details, or recipient unavailability. See our Shipping and Refund Policy for full delivery terms.

• You are responsible for providing an accurate and complete delivery address and recipient contact details. We are not responsible for failed or delayed delivery caused by inaccurate information you provided.
• If a Recipient cannot be reached at the delivery address, our delivery partner may leave the order with another person at the address, attempt redelivery, or contact you/the Recipient to arrange an alternative, depending on the circumstances.
• Risk in the products passes to you (or the Recipient) upon delivery to the address provided.

8. Cancellations, Refunds & Claims

Because our products are fresh, perishable, and often made to order, cancellations, refunds, and quality claims are subject to the conditions set out in our Shipping and Refund Policy.

Nothing in this section limits any right you may have under mandatory UAE consumer-protection law that cannot lawfully be excluded by these Terms.

9. Prohibited Activities

When using the Website, you must not:

• Use automated tools (bots, scrapers) to extract pricing, product, or catalog data without our prior written permission;
• Attempt to bypass security controls or gain unauthorized access to our systems;
• Provide false identity, payment, or delivery information, or submit fraudulent Orders;
• Upload or transmit viruses or other harmful code through Website forms; or
• Use content from the Website to build a competing product catalog or database.

10. Intellectual Property

All text, photography, arrangement designs, logos, and other content on the Website are the property of National Flowers LLC or its licensors and are protected under UAE Federal Law No. 38 of 2021 on Copyrights and Neighbouring Rights and other applicable intellectual property laws. You may not reproduce or commercially reuse this content without our prior written permission.

11. Third-Party Services & Links

The Website may link to or rely on third-party services (such as payment processors or social media platforms). We do not control, and are not responsible for, the content, availability, or privacy practices of these third parties.

12. Disclaimers

The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we do not warrant that the Website will be uninterrupted, error-free, or completely secure. This does not affect any statutory guarantee regarding the quality of the products themselves that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, National Flowers LLC shall not be liable for indirect, incidental, or consequential losses (such as loss of enjoyment of an event) arising from delayed delivery or minor natural variation in flowers described in Section 5. Subject to any mandatory rights that cannot be excluded under UAE law, our total liability arising out of an Order is limited to the amount you paid for that Order.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under mandatory UAE law, including liability for fraud or wilful misconduct.

14. Indemnification & Force Majeure

You agree to indemnify National Flowers LLC against reasonable losses arising from your breach of these Terms or misuse of the Website, to the extent permitted by law.

Neither party will be liable for delay or failure to perform caused by circumstances reasonably beyond its control, including extreme weather, flight or logistics disruption, government action, or other events of force majeure.

15. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in our services or in UAE law. The version in effect at the time you place an Order will govern that Order. Continued use of the Website after an update constitutes acceptance of the revised Terms, without prejudice to any rights you already have under mandatory law.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Abu Dhabi, subject to any mandatory laws applicable to your transaction. Any dispute arising out of or in connection with these Terms shall, subject to applicable mandatory consumer-protection rules, be subject to the jurisdiction of the competent courts of Abu Dhabi, United Arab Emirates. 17. General Provisions

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign your rights under these Terms without our consent; we may assign our rights in connection with a merger, acquisition, or sale of assets.
• Entire Agreement: These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and National Flowers LLC regarding your purchase.
